1. Acceptance of Terms
By browsing this website, requesting a project proposal, purchasing care plans, or retaining the services of WPFreelance(“we”, “our”, “us”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please refrain from using our site or engaging our services.
2. Scope of Services
WPFreelance provides specialized web design, custom software engineering, WordPress and WooCommerce development, performance optimization, headless commerce, maintenance care plans, and digital consulting.
Specific project scopes, deliverables, timelines, and payment structures are defined in written proposals, statement of works (SOW), or chosen care plan tiers agreed between the client and WPFreelance.
3. Client Responsibilities & Materials
To ensure efficient and timely delivery of services, clients agree to:
- Provide required assets, credentials, branding materials, and textual content in a timely manner.
- Ensure they own all rights, trademarks, and permissions for assets provided to WPFreelance.
- Provide constructive feedback and milestone approvals within reasonable turnaround windows.
4. Invoicing, Payments & Care Plans
- Project Milestones: Custom project engagements generally require an initial deposit prior to kickoff, with balance payments tied to predetermined milestone deliverables.
- Website Care Plans: Monthly retainer maintenance plans are billed in advance on a recurring monthly cycle. Care plans may be cancelled anytime with 14 days written notice prior to the next billing date.
- Payment Gateways: Payments are processed securely through authorized payment gateways (Razorpay, PayPal, or Direct Bank Wire).
5. Intellectual Property & Deliverables
Upon full settlement of all corresponding invoices, full ownership of custom source code, bespoke design layouts, and project assets developed explicitly for the client shall transfer to the client. WPFreelance retains rights to open-source components, preexisting libraries, internal tooling, and the right to display non-confidential project visuals in our portfolio and case studies.
6. Limitation of Liability
While we adhere to the highest web development and engineering standards, WPFreelance shall not be held liable for indirect, incidental, or consequential damages resulting from third-party hosting failures, DNS disruptions, third-party plugin/API deprecations, cyber attacks, or unauthorized modifications made by third parties after deployment.
7. Termination & Cancellation
Either party may terminate an ongoing engagement upon written notice if the other party breaches any material term of these Terms or the agreed SOW and fails to cure such breach within 14 business days. For completed work up to the date of termination, fair compensation for time and expenses shall remain payable.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in West Bengal, India.
